This text is a working draft written for the pilot. It is not legal advice and has not been reviewed by a lawyer. Do not rely on it until it is reviewed and approved.
1. Who we are
[Company legal name], a company registered in India with its office at [registered address] ("HotelOS", "we"), provides HotelOS, software for running a hotel. These terms are between HotelOS and the hotel or hotel group that signs up ("you").
2. The service
We give your staff, guests and travel agents access to the modules in your plan. We may improve the service. We will tell you at least 30 days before we remove a feature you pay for.
3. Your account
You decide who on your team gets access and what duties they hold. Keep sign in details private, and remove access when someone leaves. You are responsible for what your staff do in your account.
4. Fees and GST
Fees are per room per month as shown on the pricing page, plus GST. We bill monthly in advance. Price changes need 60 days notice. If an invoice is unpaid 30 days after its due date we may pause the account after a written reminder; your data is kept.
5. Your data
Your hotel's data, including guest records, belongs to you. You can export it at any time. We use it only to run the service for you, as set out in the data processing note.
6. Acceptable use
Do not use the service to break the law, to send messages to guests who have not agreed to them, or to try to reach another hotel's data.
7. Availability and support
We aim for the service to be available 99.5 percent of each month, not counting announced maintenance. Support is by WhatsApp and email during [support hours].
8. Liability
Our total liability in any 12 months is limited to the fees you paid in those 12 months. Neither side is liable for indirect or lost profit claims, except where the law does not allow this limit.
9. Ending the agreement
You can cancel with 30 days notice. We will keep your data available for export for 60 days after the end, then delete it, except what the law requires us to keep.
10. Law and disputes
These terms follow the laws of India. Courts at [city] have jurisdiction. We will first try to settle any dispute by talking.
